1. USER ACCESS AND ELIGIBILITY

A. Access to and use of the Platform is permitted only to individuals who are legally capable of entering into binding contracts as per the provisions of the Indian Contract Act, 1872. Individuals who are deemed "incompetent to contract" under the Act—including but not limited to un-discharged insolvents are not eligible to register, list, transact, or otherwise use the services provided through the Platform.

B. If you are a minor (i.e., under 18 years of age), you may access and browse the Platform only under the supervision of a parent or legal guardian. However, you are not permitted to register an account, post listings, or engage in any transaction directly.

C. Any transactions on the Platform by a minor must be conducted through a parent or legal guardian who is a registered user and competent to contract. We reserve the right to suspend or terminate access to the Platform if it is brought to Our attention, or if We have reasonable grounds to believe, that a user is under the age of 18 and has engaged in any activity on the Platform without appropriate authorization or supervision.

D. By using the Platform, You represent and warrant that You meet the legal eligibility criteria and that all information provided by You at the time of registration or use is true, accurate, and complete.

2. SCOPE OF SERVICES, USER CONTENT REGULATION AND THIRD PARTY ENGAGEMENTS

A. Provahan Infotech Private Limited operates a digital platform that facilitates interactions between users, enabling them to list, offer, sell, or purchase products and services. The Platform acts solely as a neutral venue for these transactions. While Users may have the option to engage in transactions, including making payments via third-party service providers integrated with or linked from the Platform, Provahan Infotech Private Limited is not a party to any such transaction. Consequently, we do not have control over, nor do we assume any liability for, the outcome of such transactions. Your decision to use the Platform and avail the Services is solely at your own risk.

B. From time to time, Provahan Infotech Private Limited may collaborate with third-party service providers to enhance your experience and facilitate specific services (for example, in relation to buying or selling vehicles or other goods). These partnerships are aimed at offering value-added services. If you choose to avail any such services, you acknowledge that you are interacting directly with those third parties and not with Provahan Infotech Private Limited. We do not control the terms, quality, or execution of such services, and disclaim any liability arising therefrom. You are advised to carefully review the terms and privacy policies of such third-party partners before engaging with them. You may choose to opt out of such services in accordance with Our Privacy Policy.

C. You acknowledge that Provahan Infotech Private Limited does not exercise control over, and is not responsible for, any user-generated content, advertisements, directory listings, third-party communications (including those from outside our domain), or any material posted, transmitted, or otherwise made available on the Platform (collectively referred to as "Content"). You may be exposed to Content that you may find inappropriate, offensive, inaccurate, misleading, or objectionable. It is your sole responsibility to assess and verify the accuracy and reliability of such Content. Under no circumstances shall Provahan Infotech Private Limited be liable for any Content or for any loss or damage incurred by your reliance on or use of such Content.

D. Provahan Infotech Private Limited does not pre-screen or approve Content, but reserves the right (without obligation) to remove, edit, or refuse to publish any Content that violates these Terms, comes to our attention as objectionable, or for any reason whatsoever. The Platform may also contain links to external websites operated by third parties ("Third-Party Websites"). These links are provided for your convenience only. We do not endorse or take responsibility for any content, terms, or practices of such Third-Party Websites, and your access to them is entirely at your own risk.

E. You are solely responsible for any Content you upload, post, transmit, or share through the Platform. You represent and warrant that you either own the rights to such Content or have obtained all necessary consents and licenses to use and display such Content on the Platform, including but not limited to intellectual property rights, rights of publicity, and privacy rights. You further warrant that any identifiable individual or business depicted or referred to in the Content has granted you the appropriate permissions to use their likeness or information.

F. By posting or sharing Content on the Platform, you grant Provahan Infotech Private Limited an irrevocable, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, adapt, distribute, publicly display, and prepare derivative works of such Content in connection with the operation, promotion, and marketing of the Platform and Our business. This license remains in effect until such Content is removed by you or by us in accordance with these Terms.

G. Additionally, by posting Content, you grant other Users a limited, non-exclusive license to view and interact with your Content on the Platform and to contact you regarding the Content, including via private messages or other permitted methods. You also authorize Provahan Infotech Private Limited to share your Content with third parties as necessary to facilitate transactions initiated through your listing or advertisement.

H. If the Platform offers automated tools (such as AI-generated descriptions based on images you upload), you understand that such descriptions are only for assistance and may not be fully accurate. You remain responsible for reviewing and modifying such Content as necessary before publication.

I. Provahan Infotech Private Limited does not endorse any Content or any views, opinions, or advice expressed therein. We disclaim all liability associated with any Content posted by Users. We reserve the right to remove Content that is alleged to infringe on intellectual property rights upon receipt of proper legal notice and may, in appropriate circumstances, suspend or terminate the accounts of repeat infringers. A repeat infringer refers to a User who has been notified of infringing activity more than once and/or has had multiple pieces of Content removed.

We reserve the right, at Our sole discretion, to determine whether Content is appropriate and in compliance with these Terms, and may remove or refuse to publish any Content without prior notice for any reason, including but not limited to legal, regulatory, or reputational concerns.

17. TRANSFER OF RIGHTS AND OBLIGATIONS

You are not permitted to assign or transfer any of your rights or obligations under these Terms, whether by operation of law or otherwise, without the prior written consent of Provahan Infotech Private Limited. Any such unauthorized assignment shall be considered null and void. However, Provahan Infotech Private Limited reserves the right to freely assign or transfer these Terms, along with any associated rights or obligations, to any third party, including in connection with a merger, acquisition, sale of assets, or by operation of law, without requiring your consent or providing notice.

18. GENERAL TERMS AND DISPUTE RESOLUTION

A. These Terms, along with any additional policies or guidelines posted on the Platform, constitute the entire legal agreement between you and the Platform operator and supersede any prior agreements, communications, or understandings—whether written or oral—relating to the subject matter herein.

B. These Terms shall be governed and interpreted in accordance with the laws of India. Any disputes, controversies, or claims arising out of or relating to these Terms, the Platform, or the Services shall first be attempted to be resolved through good-faith negotiations between the parties. If such discussions fail to resolve the matter within fifteen (15) days, the dispute shall be referred to arbitration in accordance with the provisions of the Arbitration and Conciliation Act, 1996, as amended from time to time.

C. The arbitration shall be conducted by a sole arbitrator mutually appointed by both parties. The seat of arbitration shall be Chennai, Tamil Nadu, India, and the venue for arbitration proceedings shall also be Chennai, Tamil Nadu, India, unless otherwise mutually agreed upon. The language of the arbitration shall be English.

D. Subject to the arbitration clause above, the courts in Chennai, Tamil Nadu, India shall have exclusive jurisdiction over any disputes arising under these Terms.

E. No failure or delay by the Platform operator in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof. If any provision of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, such provision shall be construed in a manner consistent with applicable law to reflect the original intent of the parties, and the remaining provisions shall remain in full force and effect.

F. These Terms shall be binding upon and inure to the benefit of the respective successors and permitted assigns of both parties.

19. BREACH OF TERMS AND CONSEQUENCES

A. You acknowledge and agree that any breach of these Terms by you may cause substantial harm, disruption, or risk to the integrity, security, or reputation of the Platform, its users, or its operations. In the event of any such breach, including but not limited to unauthorized use, fraudulent activity, abuse of Platform features, manipulation of listings or data, or circumvention of policies, the Platform reserves the right to take appropriate legal and equitable actions.

B. As a reasonable pre-estimate of damages and not as a penalty, you agree to pay liquidated damages to the Platform operator in the event of any material breach of these Terms. The amount of such liquidated damages shall be:

i. Rs. 50,000 (Rupees Fifty Thousand only) per instance of willful or fraudulent violation of Platform policies or misrepresentation of identity, products, or services;

ii. Rs. 50,000 (Rupees Fifty Thousand only) for each instance of unauthorized access, scraping, or misuse of Platform data, content, or listings;

iii. Rs. 50,000 (Rupees Fifty Thousand only) for each instance of account manipulation, impersonation, or abusive conduct toward users or customer service representatives.

C. These amounts are subject to revision based on the nature and extent of the breach. In addition to liquidated damages, the Platform may suspend, terminate, or restrict your account or access to the Services without notice and may initiate legal proceedings where appropriate.

Nothing in this clause shall prevent the Platform from seeking actual damages, injunctive relief, or any other remedy available under applicable laws.

20. FORCE MAJEURE

Provahan Infotech Private Limited shall not be held liable for any failure or delay in the performance of its obligations under these Terms or in providing access to or use of the Platform or related services, if such failure or delay is due to any event beyond its reasonable control, including but not limited to:

i. acts of God, fire, flood, earthquake, storm, or other natural calamities;

ii. war, riots, acts of terrorism, civil unrest, or sabotage;

iii. governmental actions, regulations, or restrictions;

iv. pandemic, epidemic, or outbreak of communicable disease;

v. power outages, network failures, cyberattacks, server downtime, or disruptions in telecommunication services;

vi. labour strikes, lockouts, or other industrial disputes;

vii. or any other similar event which could not have been reasonably anticipated or controlled.

In the event of a Force Majeure situation, Provahan Infotech Private Limited shall make reasonable efforts to mitigate the impact and resume full functionality at the earliest possible time. However, during the continuance of such event, the affected obligations of Provahan Infotech Private Limited shall be deemed suspended for the duration of the delay or failure.
